General Terms and Conditions.

I. General Provisions / Scope of Application

All of our deliveries and services are provided exclusively in accordance with these General Terms and Conditions. Any provisions that deviate from these terms and conditions—in particular, the buyer’s terms and conditions—shall only take effect upon our written confirmation. Acceptance of deliveries and services shall in all cases be deemed acceptance of our General Terms and Conditions. These terms and conditions also apply to the ongoing business relationship. Any amendments to or supplementary agreements regarding these Terms and Conditions must be made in writing.

II. Offer and Conclusion of the Contract

Offers made by sixData GmbH are nonbinding and are subject to a three-month commitment period, unless otherwise specified herein. Declarations of acceptance and all orders require our written confirmation to be legally valid. The same applies to additions, amendments, or ancillary agreements.

If the customer does not have a general place of jurisdiction within Germany, or if, after the conclusion of the contract, the customer moves his or her domicile or habitual residence outside the territory of the Federal Republic of Germany, our place of business shall be the place of jurisdiction. This also applies if the customer’s place of residence or habitual residence is unknown at the time the action is filed.

All contracts with us are governed by the laws of the Federal Republic of Germany, excluding the Uniform Sales Act (EKG) and the Uniform Contract Formation Act (EAG). The contract language is German, unless otherwise agreed.

III. Software

In addition, the manufacturer’s license terms or other conditions enclosed with and/or contained on the data carrier apply to the delivery of software. The buyer acknowledges the validity of these terms by opening the sealed data carrier or by using the software provided.

IV. Final Provisions

The laws of the Federal Republic of Germany shall apply. To the extent permitted by law, the place of jurisdiction shall be the registered office of sixData GmbH. Should any individual provisions be invalid, the validity of the remaining provisions shall remain unaffected.
